Terms of Service

1. Who we are
These Terms of Service ("Terms") govern your use of Vetta, an on-demand marketplace that matches SMEs to certified, accredited inspectors and auditors, operated by [Company Name], of [Registered Address]("Vetta", "we", "us", "our").
By checking the agreement box when you create an account, or by otherwise using the service, you agree to these Terms. If you don't agree, please don't use the service. If you have questions, contact us at [email protected].
Vetta is a matching and quality-assurance platform. We are not a certification body, accreditation body, or notified body, we do not carry out inspections or audits ourselves, and we do not guarantee the substantive accuracy or regulatory sufficiency of any report — that responsibility rests with the accredited auditor who signs it.
2. The service
Vetta lets SME clients post inspection or audit jobs, matches them to a ranked shortlist of verified, accredited auditors, and supports booking, escrow-backed payment, in-app messaging and document sharing, and AI-assisted quality checks on the resulting report before it's released.
Matching is gated on a valid, verified accreditation for the required scope — an auditor with a lapsed or unverifiable credential will never be matched to a job.
3. Eligibility and your account
Vetta serves two kinds of account: SME clients posting jobs, and accredited auditors fulfilling them.
- You must be at least 18 years old, acting on behalf of a business, and able to form a binding contract to use the service.
- You're responsible for keeping your login credentials secure and for all activity that happens under your account.
- You must provide accurate information when you register, and keep it up to date.
- If you register as an auditor, you warrant that every accreditation, scope, and credential you submit is genuine, current, and accurately represented. We verify credentials against the issuing body, but you remain responsible for promptly notifying us if a credential lapses, changes, or is withdrawn.
4. Bookings, escrow, and payment
- When an SME books a matched auditor, payment is captured and held in escrow via our payment processor, Stripe.
- Escrow funds are released to the auditor, less our commission (typically 15–20% of the job value), once the report has passed QA and been accepted by the client.
- Refunds and cancellation terms depend on how far in advance a booking is cancelled and whether work has begun; specific thresholds will be set out at booking.
- Where either side subscribes to a paid tier, that subscription is billed in advance on a recurring basis and can be managed or cancelled from account settings.
- We may change our commission rate or subscription pricing from time to time; we'll give reasonable notice before any change takes effect on your account.
5. No circumvention of the platform
Once Vetta has matched an SME and an auditor for a job, both parties agree not to take that engagement, or any repeat engagement arising from it, off-platform in order to avoid our commission. Contact details are not exposed pre-booking for this reason, and all job-related communication should stay within the in-app workspace. We may suspend accounts that we reasonably believe are circumventing the platform in this way.
6. In-app workspace and communications
Communication about a job should happen through its dedicated in-app thread, and evidence or report files should be shared through the document hub, so there is a single, tamper-evident record of the engagement for both sides and for dispute resolution.
7. AI-assisted report QA
Before a report is released to the client, our AI engine checks it for completeness against the required accredited scope and flags inconsistencies or gaps for the auditor to address. The AI engine assists; it does not draft findings, make compliance judgements, or replace the auditor's own professional sign-off. The report remains the accredited auditor's own work, submitted under their own name and accreditation, and they remain fully accountable for its content— Vetta's role is limited to matching, escrow, and this QA layer.
8. Acceptable use
You agree not to:
- Use the service for any unlawful purpose;
- Misrepresent your identity, business, or — for auditors — your accreditation or scope;
- Attempt to gain unauthorised access to the service, other users' accounts, or our systems;
- Interfere with or disrupt the service, or attempt to reverse engineer it;
- Scrape or resell our data, matching results, or AI outputs; or
- Share your account with others.
We may suspend or terminate accounts that breach this section.
9. Third-party services
The service connects to third parties to work, including our authentication and database provider, Stripe (for escrow and payments), accreditation and certification bodies (for credential verification), and an AI processing provider (for report QA). Your use of these integrations is also subject to those providers' own terms, and their availability or accuracy is outside our control. 10. Intellectual property
We and our licensors own all rights in the service, including its software, matching engine, design, and branding. Reports produced through the service remain the intellectual property of the accredited auditor who authored them and the client who commissioned them, subject to any separate agreement between those two parties.
11. Disclaimers and limitation of liability
The service is provided "as is". To the extent permitted by law, we exclude all warranties not expressly stated in these Terms, and we don't guarantee the service will be uninterrupted, error-free, or that third-party systems it depends on will always be available.
Vetta verifies accreditation against issuing bodies and runs AI-assisted QA checks, but we do not guarantee the quality, accuracy, or regulatory sufficiency of any report, and we are not liable for an auditor's professional judgement or conduct — accountability for the report's substance rests with the accredited auditor who signed it.
To the extent permitted by law, our total liability to you for any claim arising from your use of the service is limited to the commission or fees you paid us in the 12 months before the claim arose. We don't exclude or limit liability for death or personal injury caused by our negligence, fraud, or anything else that can't be excluded by law.
12. Suspension and termination
You can close your account at any time from account settings. We may suspend or terminate your access if you breach these Terms, if an auditor's accreditation lapses or fails re-verification, or if we reasonably suspect fraudulent, unaccredited, or circumventing use. Where practical, we'll give you notice first.
13. Changes to these terms
We may update these Terms from time to time, for example as our service or legal obligations change. We'll update the "last updated" date above, and if the changes are significant, we'll notify you by email or an in-app notice. Continuing to use the service after changes take effect means you accept the updated Terms.
14. Governing law
These Terms are governed by [Governing Law / Jurisdiction], and any disputes will be subject to the exclusive jurisdiction of the courts named there.
